It is important to de-register your company when you no longer need it, as the company has annual due diligences which need to be complied to. The de-register process will take approximately 2 to 6 months, in which the company still needs to have valid Business Registration Certificate and comply with all required due diligences.
The Inland Revenue Department (IRD) will check if the company has ceased operation and has no outstanding liabilities and obligations. IRD will then issue the “Notice of No Objection”, after which the de-registration can be filed.
Even if the company is not commencing business or never commenced any business (dormant), the company still needs to file its Annual Return and renew its Business Registration Certificate otherwise there will be penalty incurred. Please take note that, de-registering itself is not a solution to avoid the incurred penalty.
