- Business Registration Certificate
Business Registration Certificate (BRC) is valid for either 1 or 3 years. For registered company, BRC renewal demand note will be sent by the Business Registration Office around 1 month before the current BRC expiration date. - Annual General Meeting (AGM)
At least one shareholder(s) AGM must be conducted within 18 months after incorporation date, and subsequently once every year but not later than 15 months after the last AGM. Our company secretary service can assist in preparing the required AGM documents. - The Annual Return
Private limited company incorporated in Hong Kong is required to file Annual Return signed by director, company secretary, and manager or other authorised representative within the Company Registry. The Annual Return must be filed annually, 42 days after anniversary of incorporation date at the latest. Late filing may result in higher fee, and possible penalty. - Profit Tax Return
As per Hong Kong law, every company incorporated in Hong Kong must file a Profit Tax Return along with its Audited Financial Statements annually. IRD issues Profit Tax Return filing notice on 1st of April every year. For newly incorporated companies, the notice is generally issued in the 18th month after the incorporation date.Company must file their Profit Tax Return within 1 month after the issuance of notice by IRD. An extension request can be asked if needed. Should company fail to submit by the due date, penalty (or even prosecution) may be incurred.The following documents must be attached along with the Profit Tax Return filing:
- Audited Financial Statements (Auditor’s Report, Balance Sheet, and Income Statement)
- Tax Computation, indicating the assessable profit (or adjusted loss)
- Employer’s Return for the Payroll
